<h2>Partner Agreement</h2>
<p>Your Partner Agreement governs your participation in the Abnormal Security<sup>Ⓡ</sup> (AS) Partner Program and each Partner’s resale and use of our Service and as further provided for below. Any terms capitalized but not defined herein will have the meaning set forth in your Partner Agreement.</p><h2>Pricing / Discounts</h2>

<p>For any government-related Partner Opportunities, AS and Partner will negotiate such pricing and any applicable Discounts in good faith for each such Opportunity.</p><h2>Deal Registration Conditions</h2>
<p>The following sets forth AS’s “Deal Registration Conditions” that apply to each Partner Opportunity under your Partner Agreement.</p>
<p>A Registered Opportunity will be granted to Partner in AS’s sole discretion following qualification of the End User opportunity by AS.</p>
<p>Such registration will expire 90 days from the date the registration is approved by AS. In order to renew the registration, Partner must submit a new registration request to AS, which will be approved (or denied), in AS’s sole discretion, based on a variety of factors, including (i) the extent to which Partner has been actively engaged with the End User, (ii) whether the End User has expressed a preference for working with Partner, (iii) whether Partner has advanced the opportunity beyond the qualification stage, including by identifying and engaging both economic and technical buyers at the End User, determining the End User’s available budget for a purchase, etc., and (iv) whether or not the intended End User opportunity is already under (a) an existing Order and/or agreement with AS or another AS partner, or (b) an accepted registered opportunity by AS with another AS partner. If approved, the renewed registration will again expire 90 days from the date of approval.</p>

<p>Under certain circumstances, and at AS’s discretion, additional discounting may apply beyond the program’s published approved discount level (each, a “Non-Standard Pricing Opportunity” or “NSP”). AS will review Partner requests for NSPs on a one-off basis. Partners are not guaranteed a NSP for any Partner Opportunity.</p><h2>Sales and Marketing Collateral</h2>
<p>AS makes available certain “Sales and Marketing Collateral” that our partners may use to promote, market, and resell our Service.
